1. Agreement to Terms

By accessing or using Web Activated Solutions services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site and services.

2. Services Description

Web Activated Solutions provides custom software development, operational systems, and workflow tools. Services include but are not limited to:

• The Register platform (Field and Floor configurations)
• Custom software development
• Workflow automation solutions
• Operations dashboards and reporting systems
• Technical consultation and support

3. User Obligations

You agree to:

• Provide accurate and complete information when engaging our services
• Use services only for lawful purposes and in accordance with these Terms
• Not use services in any way that could damage, disable, or impair our systems
• Maintain confidentiality of any access credentials provided
• Comply with all applicable South African laws and regulations

4. Intellectual Property

Unless otherwise agreed in writing, all custom software developed remains the intellectual property of the client upon full payment. Web Activated Solutions retains the right to:

• Use anonymized project examples for portfolio purposes
• Reuse general-purpose code components in other projects
• Retain intellectual property rights to The Register platform and its core features

5. Data Ownership and Protection

Client Data Ownership: All client data remains the property of the client. Web Activated Solutions acts as a data processor for client data.

POPIA Compliance: We are committed to complying with the Protection of Personal Information Act (POPIA). Our services are designed with privacy and data protection in mind, including:

• Consent-based data collection
• Role-based access controls
• Audit trails for data access and modifications
• Secure data storage and transmission

6. Payment Terms

• Payment terms are specified in individual project agreements
• Invoices are payable within 30 days unless otherwise agreed
• Late payments may incur interest as permitted by law
• Services may be suspended for non-payment after notice

7. Warranties and Limitations

Warranty: I warrant that services will be performed with professional skill and care. Software is provided "as is" with no warranty of perfection.

Limitations: Web Activated Solutions is not liable for:

• Third-party service failures or downtime
• Data loss due to client actions or third-party failures
• Indirect, consequential, or punitive damages
• Issues arising from client's failure to follow recommendations

8. Support and Maintenance

Support and maintenance terms are specified in individual agreements. Standard support includes:

• Bug fixes for reported issues
• Email support during business hours
• Security updates as needed

Additional support packages and response times may be negotiated separately.

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• Client remains responsible for payment of services rendered
• Client data will be made available for export within 30 days
• Access to systems will be revoked after data export period

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of services.

11. Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiation between parties
2. Mediation if negotiation fails
3. Arbitration or South African courts as a last resort

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any legal action must be brought in South African courts.

13. Changes to Terms

I reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of services after changes constitutes acceptance of modified Terms.
